When starting a business in Tamilnadu, the first step is to decide on a legal structure for the company. The most common is a private limited company, which is governed by the Companies Act. This structure offers greater protection to shareholders and directors, and is more flexible than other forms of business. It is also the preferred structure for foreign investors, who can invest in Indian companies with greater ease than other structures.
Once the company has been incorporated, it is important to get its business registered with the local government and the Ministry of Corporate Affairs. This will ensure that the company has a legally valid name and is not violating any existing trademarks. It is also essential to register for GST, which will allow the company to file ITR returns and receive tax exemptions and benefits.
Next, it is necessary to obtain a DIN number for all directors of the company and a Digital Signature Certificate. This can be done online through the official Ministry of Corporate Affairs portal for up to three directors. Finally, it is necessary to stamp all documents pertaining to the company with the state treasury or through any authorised private agency. This can take up to 48 hours.
Once the company has been formally registered, it can start conducting business operations. If the company wants to change its registered office, it must first pass a board resolution approving the move. Then, it must file form INC22 with the MCA, along with utility bills for business address proof and an NOC from the place owner or a rental agreement if the property is rented. This must be filed within 30 days of passing the resolution, and the new address must be verified by the ROC before it is accepted.
