Like companies, auditors are also under pressure thanks to improved investor awareness and public scrutiny. They fear action from Sebi or the Ministry of Corporate Affairs (MCA) if they certify accounts that turn out to be fraudulent later. This has led to a spate of resignations by audit firms in the past year. Filingpoint team is the best expert for Auditor Registration.

In a recent development, Deloitte Haskins and Sells resigned as auditor of the Adani Group port company following a report by US-based short seller Hindenburg Research. In a filing, the Adani Ports and Special Economic Zone (APSEZ) named MSKA & Associates as its new auditor.

As per Section 140 of the Companies Act, 2013, an auditor can resign from the post of the statutory auditor of a company before expiry of his/her term by depositing a notice in writing to this effect at the registered office of the company together with a statement in Form ADT-3 indicating the reasons for his/her resignation. Non-compliance of this provision can lead to hefty fines.

An auditor can submit the Form ADT-3 online through the MCA website or can be filed with a physical copy by posting it to the Registrar of Companies (RoC). The statement needs to be digitally signed by the auditor using his/her DSC and is to be accompanied by the resignation letter. A government filing fee is to be paid for the submission of the form. After the resigned auditor files the statement, the company will have 30 days to appoint a new auditor as per the provisions of the Act and Rules.
